About the role

SUMMARY:

Provides day-to-day support to in-house corporate counsel in one or more of the following areas:  corporate governance, entity management, contract drafting, M&A due diligence, legal research, intellectual property and internal compliance initiatives

What you’ll be doing

ESSENTIAL DUTIES & RESPONSIBILITIES:

  • Manage and maintain corporate entities and organizational charts.
  • Prepare and maintain corporate governance documents, including minutes, board resolutions, and other related materials.
  • Conduct due diligence for mergers and acquisitions (M&A) transactions.
  • Negotiate, draft and review basic commercial agreements and non-disclosure agreements (NDAs).
  • Prepare amendments to corporate and contractual documents as needed.
  • Update officers and directors on an annual basis and ensure compliance with corporate requirements.
  • Maintain portfolio of fictitious names, including managing state and local filings.
  • Manage state filings for entity formation, dissolution, and mergers.
  • Research and interpret federal, state, and local laws to support legal and business initiatives.
  • Assist with basic intellectual property matters, including trademark, copyright, and web domain filings and maintenance.
  • Assist with other legal projects as assigned.
  • Collaborates with business partners to gather, analyze, and produce information related to discovery requests, investigations, and internal initiatives.
  • Assists counsels by gathering, researching and investigating information and data related to legal precedent, regulations, statutes, decisions, facts and laws to determine causes of action.
  • Acts as a liaison with internal business partners and stakeholders.
  • Assists in the development and implementation of related legal procedures and best practices.
About you

MINIMUM EDUCATION & EXPERIENCE REQUIREMENTS:

  • Minimum (3) years to (5) years of related experience in a law firm, and/or in-house corporate legal department
  • Preferred Bachelor’s degree and/or paralegal certification by an institution approved by the American Bar Association

KNOWLEDGE, SKILLS & ABILITIES REQUIREMENTS:

  • Ability to prioritize, organize and perform multiple work assignments simultaneously while meeting assigned deadlines and be able to manage time effectively.
  • Self- starter with a strong work ethic and the ability to work independently.
  • Excellent attention to detail and strong written and verbal communication skills with various levels of employees and management.
  • Ability to establish and maintain effective working relationships
  • Skilled in preparing clear, concise and accurate documents including, but not limited to reports, contracts, procedures, and correspondence.
  • Ability to identify problems, review related information and evaluate, develop and recommend solutions.
  • Knowledge of related federal, state, and local laws, ordinances, rules and regulations.
  • Proficient in Microsoft Office Products, such as Word, Excel, PowerPoint and Outlook.
